Master Services Agreement
This agreement is between simple a site. ("simple a site.", "we", "us") and the client ("you"). It covers every project and monthly plan you buy from us. Each project has a short Statement of Work, and each plan has the Monthly Plan Terms; together with this agreement they are the whole deal. If they ever disagree, the Statement of Work wins, then this agreement, then our policies.
We wrote it in plain English on purpose. If anything is unclear, ask before you accept.
1. What we'll do
1.1 We'll design, write and build what your Statement of Work lists: the package, pages, features and extras you chose, and nothing else unless we agree in writing (a change order).
1.2 Unless your Statement of Work says otherwise, the work includes the words for your pages, written from what you tell us; licensed stock photos where you don't have your own; set-up on our covered hosting; and connection to a domain you own.
1.3 Your site is built to work on current versions of Chrome, Safari, Edge and Firefox, on phones, tablets and computers.
1.4 We may use software tools, including automated and AI-assisted tools, to do the work faster. A person at simple a site. reviews everything before you see it, and we remain responsible for the work.
2. What we need from you
2.1 Answers, content, photos and decisions on time, from one person who can decide for your business. The schedule counts business days from when we have what the Statement of Work says we need.
2.2 Access, never passwords. You add us as a user or manager on the accounts we need (your domain registrar, Google Business Profile, analytics, ad accounts). You stay the owner of every account.
2.3 That everything you give us is yours to use, true and lawful (see section 8).
3. Rounds of changes and approvals
3.1 Your package includes a set number of rounds of changes. A round is one consolidated list of changes, sent through your project page. Fixing our own mistakes never uses a round.
3.2 When you approve a stage (the design, or the finished site), it's settled. Changes after an approval, extra rounds, and anything not in your Statement of Work are priced as a change order using our published prices. Work on a change starts only after you accept it.
3.3 Approvals are given on your project page and recorded with the date and time.
4. Timeline and waiting
4.1 Target dates are estimates in business days and assume timely content and feedback. They move when the scope changes or when we're waiting on you.
4.2 If a project waits on you for 14 days in a row, we'll pause it after telling you, and the next milestone payment in your schedule becomes due. If it waits 60 days, we may close the project. Work done and payments made up to then are kept, and you can restart later with new dates.
5. Payment
5.1 You see your homepage before you pay anything. Your Statement of Work shows the price, what's due when, and the payment option you chose: pay as we go (deposit and milestones), Pay in 3, twelve monthly payments, or in full.
5.2 Our design guarantee. If you never approve the design within your included rounds, we refund everything you've paid for that project, and you keep nothing we made. Once you approve the design, payments made are not refundable, because the work has been accepted.
5.3 Invoices are due on the date shown. You authorize us (through our payment processor) to charge the card or bank account you save for scheduled payments you agreed to. We send a receipt for every payment.
5.4 If a payment is late, we may pause work, hold the launch, and take a hosted site offline until it's paid.
5.5 Twelve monthly payments. If you chose this, the total is shown in your Statement of Work. The site goes live once you approve it and your payments are current. If you stop paying before all twelve are made, the remaining payments become due, and until they are paid we may take the site offline and the site files stay ours.
5.6 Prices don't include outside costs you pay directly: your domain, business email licenses, ad spend, and tools in your name. Where we buy something for you at cost, it's listed separately.
5.7 Taxes: our services are listed separately on every invoice. If a tax applies to anything we sell you, it's shown as its own line.
6. Who owns what
6.1 Your accounts are yours from day one: your domain, Google Business Profile, analytics, social and ad accounts are registered to you. We never hold them for you.
6.2 The finished site is yours once it's paid in full: the design made for you, the words we wrote for you, your logo files (if we made one, with the copyright assigned to you), and a complete copy of your site's files. We confirm the transfer in writing on your launch certificate.
6.3 Until then, you may use the preview for review only.
6.4 We keep our own tools and know-how: our software, layouts, code libraries, processes, unused drafts and concepts. You get a permanent, free licence to use whatever of these is part of your site.
6.5 Third-party items (fonts, stock photos, icons, plugins, embedded tools) stay owned by their makers and are used under their licences. We only use items we can licence for your site and keep a record of where each came from.
6.6 Unless you ask us not to, we may show your site in our portfolio and add a small "Site by simple a site." credit in the footer, which you can ask us to remove at any time.
7. Hosting, domain and email
7.1 Covered hosting is $0 for ordinary business websites, including built-in menus, booking and order requests. Large stores with inventory systems, memberships and custom apps may need another solution, which we'll quote.
7.2 Domain registration and renewal are separate and in your name. If we help you buy a domain or email, it's bought in your account.
7.3 You can take your site elsewhere at any time once it's paid. We'll give you the complete files.
7.4 We aren't responsible for outages of services we don't control (registrars, email providers, Google, payment and booking tools).
8. Your content and your promises
8.1 You confirm you own or have permission to use everything you send us (photos, logos, text, reviews and testimonials, music and video), and that people pictured agreed to it.
8.2 You're responsible for what your business promises on its site: prices, licences, guarantees, health or legal claims, and the reviews you publish, which must be real.
8.3 We may decline content we believe is unlawful, misleading or infringing.
8.4 If someone claims your content infringes their rights, you'll cover the cost of that claim (section 12).
9. What we don't promise
9.1 Search and ads results. We do the work in your plan (pages, profile posts, reviews requests, ads changes) and report on it. Rankings, traffic, calls and sales depend on search engines, competitors and many other things, so we don't guarantee them. Google decides whether profiles are verified or suspended.
9.2 Accessibility. We build following WCAG 2.2 AA practices for what we make, and check before launch. We don't promise legal compliance with the ADA or any law, because accessibility also depends on content you add and tools you connect. We never use "overlay" widgets.
9.3 Speed promise. Your pages meet Google's Core Web Vitals thresholds in a mobile lab test (Lighthouse) at launch, or we fix them at no charge. Outside tools you add (booking, chat, video and similar) are excluded.
9.4 Warranty. For 30 days after launch we fix, at no charge, anything in our work that doesn't match what you approved. This doesn't cover changes made by anyone else or problems in outside services. Beyond that and section 9.3, the work is provided as is, to the extent the law allows.
10. Confidentiality and your data
10.1 We keep your business information, briefs and account details private and use them only to do your work. You keep ours private too.
10.2 When your site collects enquiries, bookings or orders from your customers, that information belongs to you. We handle it only to run your site and deliver it to you; we don't sell it or use it for anything else. Our service providers that help (hosting, email delivery, spam filtering) are listed in our Privacy Policy. If we learn of a security incident affecting that information, we'll tell you without unreasonable delay. At the end of our work together we return or delete it at your request.
10.3 Your site forms are not for card numbers, government ID numbers or health records. If your business is covered by health-privacy rules, tell us before we build forms.
10.4 You're responsible for your own site's privacy notice (we'll write a standard one for you) and for having permission before texting or calling the people who contact you.
11. Ending the work
11.1 You can end a project at any time by telling us in writing (your project page counts). You pay for the work done to that point: the payments due up to the stage reached, plus any outside costs we can't cancel. If the design was never approved, section 5.2 applies.
11.2 We can end a project if payments are more than 30 days late, if you ask us to do something unlawful, or if communication becomes abusive. We'll deliver what's been paid for.
11.3 Monthly plans end as the Monthly Plan Terms say.
12. Responsibility and limits
12.1 You'll cover our reasonable costs from claims caused by your content, your instructions, your products and services, or your business's legal obligations. We'll cover yours from claims that something we created for you infringes someone else's rights.
12.2 Neither of us is liable to the other for lost profits, lost data or indirect losses. Our total liability for any claim is limited to what you paid us in the 12 months before it. These limits don't apply to fraud, wilful misconduct, or the cover in 12.1, and they apply only as far as the law allows.
13. Disagreements
13.1 If something goes wrong, tell us first; we'll try to fix it within 15 days. If we can't agree, we'll try mediation before anything else.
13.2 Either of us may use small claims court for amounts within its limit. This agreement is governed by the laws of the State of Kansas, and any court case will be in Sedgwick County, Kansas, unless the law requires otherwise. In a dispute over unpaid invoices, the winner's reasonable legal costs are paid by the other side.
14. Signing electronically
14.1 We agree to do business electronically. Accepting on your project page (ticking the box and typing your name) is your signature, with the same effect as signing on paper. We record when and how you signed and email you a copy with a certificate.
14.2 Messages on your project page and email count as written notice.
14.3 You can ask for a paper copy at any time at no charge, and you can withdraw your agreement to electronic records by telling us, after which we'll send documents by mail.
15. The rest
15.1 This agreement, your Statements of Work, change orders and the Monthly Plan Terms are the whole agreement and replace earlier discussions. Changes must be in writing, accepted by both of us (change orders on your project page count).
15.2 If any part can't be enforced, the rest still applies. Neither of us is responsible for delays caused by events outside reasonable control. We're an independent business, not your employee. We may use subcontractors and remain responsible for their work. You may not transfer this agreement without our agreement; we may transfer it to a successor business.
15.3 Sections 5 to 10, 12 and 13 continue after the work ends.
